Terms of Service.

These Terms of Service (“Terms”) govern your access to and use of staffingstudio.io and the services provided by Staffing Studio (“Staffing Studio,” “we,” “our,” or “us”). By using our website or engaging our services, you agree to these Terms.

1. Our services

Staffing Studio provides direct-placement staffing services for small businesses. We recruit, vet (using the TraitX framework), and present senior remote talent, primarily from the Philippines and Kenya, directly to our clients’ teams.

Key characteristics of our service:

  • Direct hire model: Once placed, the candidate becomes a direct hire of the client, not an employee or contractor of Staffing Studio. We do not act as an employer of record after placement.
  • Vetting framework: All candidates pass through our TraitX vetting framework; only candidates from approximately the top 1% of applicants reach the final client interview round.
  • Placement timeline: We typically present qualified candidate panels within approximately 14 days of a kickoff call.
  • 90-Day Replacement Promise: If a placed candidate doesn’t work out within the first 90 days for reasons covered by our promise, we recruit and present a replacement at no additional placement fee. Full terms are provided in the engagement agreement.

2. Pricing and payment

2.1 Refundable deposit

A $500 refundable deposit is required at the start of every placement engagement. The deposit secures our work to recruit, vet, and present a candidate panel. The deposit is refunded if:

  • We are unable to present any qualified candidates within the agreed timeframe, or
  • You cancel the engagement before any candidate has been formally presented.

The deposit is non-refundable once a qualified candidate panel has been presented.

2.2 Placement fee

Upon a successful hire, the placement fee is 33% of the placed candidate’s first-year base salary. The $500 deposit credits against this fee. The placement fee is invoiced upon offer acceptance and is due in full before the candidate’s first day of work.

2.3 Payment terms

Invoices are due on receipt unless otherwise agreed in writing. Past-due balances may accrue interest at the lower of 1.5% per month or the maximum rate permitted by law. We may pause services for accounts with past-due balances.

2.4 90-Day Replacement Promise

If a placed candidate is terminated for cause (poor performance or fit) or voluntarily resigns within 90 calendar days of their start date, Staffing Studio will, at no additional placement fee, recruit and present a replacement candidate panel within the timeframes outlined in the engagement agreement. The promise does not apply where the candidate’s exit is caused by reduction in force, material change to the role’s scope or compensation after the offer was accepted, or termination without cause by the client.

3. Acceptable use of the website

You may use staffingstudio.io for lawful purposes only. You agree not to:

  • Use the site in any way that breaches applicable laws or regulations.
  • Attempt unauthorized access to any portion of the site, its servers, or any related systems.
  • Use any automated means (bots, scrapers, spiders) to access or extract content from the site, except for legitimate search-engine indexing.
  • Introduce viruses, malicious code, or other harmful material.
  • Use the site to send unsolicited commercial communications.
  • Misrepresent your identity or affiliation when contacting us through the site.

4. Intellectual property

The website, including text, images, design, code, and trademarks, is owned by Staffing Studio or its licensors. You may not reproduce, distribute, modify, or create derivative works from any part of the site without our prior written consent, except for personal, non-commercial reference.

5. Disclaimers

The website and our services are provided “as is” and “as available,” without warranties of any kind, whether express or implied. To the maximum extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

While we use the TraitX framework to vet candidates rigorously, no vetting process is perfect. We do not warrant that any placed candidate will achieve specific outcomes in their role.

6. Limitation of liability

To the maximum extent permitted by law, Staffing Studio, its officers, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the site or our services. Our total liability for any claim arising from these Terms or our services will not exceed the fees you have paid to us in the twelve months preceding the event giving rise to the claim.

7. Indemnification

You agree to indemnify and hold harmless Staffing Studio, its officers, employees, agents, and affiliates from any claims, damages, losses, or expenses arising from your use of the site, your violation of these Terms, or your violation of any rights of a third party.

8. Termination

We may suspend or terminate your access to the site at any time, with or without notice, for any reason, including violation of these Terms. The provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Governing law

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. Any disputes arising from these Terms or your use of the site will be brought in the state or federal courts located in Broomfield County, Colorado, and you consent to the personal jurisdiction of those courts.

10. Dispute resolution

Before filing any claim, the parties agree to attempt to resolve disputes informally by sending written notice to info@staffingstudio.io. If the dispute is not resolved within 30 days, either party may pursue formal resolution. Either party may seek injunctive or equitable relief in any court of competent jurisdiction without first attempting informal resolution.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top. Continued use of the site after changes constitutes acceptance of the updated Terms. Material changes will be communicated through the website or by email where appropriate.
